RUN MEDIA SERVICE AGREEMENT

USE OF PHOTOS:

The undersigned client (hereinafter referred to as “Customer”) hereby agrees to the terms and conditions set forth in this License and Service Agreement (the “Agreement”) with Austin Lens LLC, doing business as Run Media (“Run Media”), which shall govern the provision of real estate photography, videography, 3D tours, and related services (collectively, the “Services”).

License Agreement:

In consideration of the Services provided and the fee paid, Run Media grants the Customer the following non-exclusive, royalty-free license rights to the images, videos, and other media (collectively, the “Images”) created during the provision of Services:

1. Grant of License: The Customer may reproduce, distribute, display, create derivative works from, and publicly present the Images indefinitely.
2. Copyright Enforcement: This license includes the right to enforce copyright against unauthorized use or past infringement.
3. Restriction on Transfer: The Customer shall not sell, distribute, or otherwise transfer the Images without Run Media’s express written consent.
4. Ownership: Run Media retains all ownership and copyright to the Images and represents that it has the authority to grant this license.

Independent Contractor: Run Media is an independent contractor, and nothing herein shall be construed to create a partnership or joint venture between Run Media and the Customer.

Third-Party Use: If a third party expresses interest in the Images, the Customer agrees to direct them to Run Media for licensing inquiries.

Governing Law: This Agreement shall be governed by the laws of the State of Texas.

Entire Agreement: This document constitutes the entire agreement between Run Media and the Customer, superseding any prior agreements. Amendments must be in writing and signed by both parties.

Limitation of Liability: The Customer’s recourse for any claim or loss arising from this Agreement is limited to the fees paid to Run Media for the Services related to the Images.

CANCELLATION/RESCHEDULE POLICY:

Cancellations or reschedules on the day of the appointment are subject to a fee to compensate for the allocated time and resources. Details of these charges are specified below.

PAYMENT POLICY:

Services are billed upon completion, irrespective of property sale or other contingencies.

TRIP CHARGES:

Additional charges apply for services provided beyond a 30-mile radius from the city center.

COMMUNICATION:

Consent to receive text messages for communication purposes is acknowledged upon providing a contact number.

PROPERTY PREPARATION:

The Customer is responsible for ensuring the property’s readiness for photography. Run Media’s photographers may terminate the session if the property conditions cause undue delays.

SAFETY AND PETS:

The Customer must ensure a safe environment for Run Media’s personnel and contain or remove pets during the session.

POST-SERVICE POLICY:

Services are non-cancellable once performed, and the Customer agrees to the full fee. Run Media does not retouch images to conceal defects.

DELIVERY:

Run Media will deliver the final products by 6pm the following day after the shoot, unless otherwise agreed.

COPYRIGHT NOTICE:

Run Media maintains copyright of all Images and permits the Customer’s use solely for property promotion. The Customer may not alter or transfer the Images without consent. Non-payment may result in infringement actions.
